ACKNOWLEDGEMENT OF RECEIPT OF GENERAL ORDERS

I hereby acknowledge that I have received the current Vigilant Pro Private Security Services (VPPSS) General Orders and have thoroughly reviewed and understood the material contained therein. I confirm that I have had the opportunity to ask questions about the policies, procedures, and expectations outlined, and I understand that any future inquiries regarding these matters will be addressed by the General Manager, HR, supervisor, or their designated representative upon request.


I agree to abide by and comply with the orders, policies, procedures, and guidelines set forth in the General Orders and any additional verbal instructions provided. I understand that VPPSS reserves the right to amend, modify, or discontinue any policies, benefits, rules, or regulations described in the General Orders at its sole discretion, with or without prior notice. I also acknowledge that these policies and procedures do not constitute an express or implied contract of employment.

Uniform Policy

I acknowledge that VPPSS provides uniforms to its employees at a cost of $350.00. In the event of my departure from the company, whether through resignation or termination, I agree to return all uniforms issued by VPPSS within seven (7) days. Failure to return the uniforms within this period will result in the forfeiture of the uniform deposit.

I further acknowledge and agree that:
⦁    If the uniforms are damaged due to deliberate abuse, neglect, or misuse (e.g., burning, tearing, or any intentional damage), I will be held financially responsible, and the cost will be deducted from my final paycheck.
⦁    If the uniforms are lost or stolen while in my possession, I will be held responsible for their replacement cost, which will also be deducted from my final paycheck.
⦁    Upon return, uniforms must be professionally dry-cleaned and accompanied by valid receipts as proof of cleaning. Regular washing and drying are not acceptable. If uniforms are returned without being dry-cleaned, or if receipts are not provided, $50 will be deducted from my final paycheck to cover the cleaning cost.


I understand and agree that I am responsible for maintaining the uniforms in good condition while in my possession and that failure to adhere to the uniform policy may result in additional charges or deductions as outlined.
By signing this document, I confirm my understanding and agreement to the terms and policies stated above.

CONFIDENTIALITY & AGREEMENT AND TERMINATION CLAUSES:

I,

I hereby agree to the following: Delivery of Confidential Information upon request or when my employment with this company terminates, I will immediately deliver to the C.E.O all copies of all materials and writings received from, created for, or belonging to this company including, but not limited to, those which relate to or contain Confidential Information. Concerning location: I shall maintain confidentiality at my work location and/or any other place under my control and treat all information I may have as Confidential. I understand that some work locations will provide me with materials and confidential information on a "need to know" basis. At Vigilant Pro Private Security Services (VPPSS), maintaining professional boundaries and avoiding conflicts of interest is paramount. This policy outlines employee conduct regarding client interactions and the responsibilities for company-provided materials and tools.


⦁    1. Client Contact and Employment
Employees, whether security guards or management staff, are strictly prohibited from initiating contact with any VPPSS clients for non-work-related matters. Furthermore, employees may not accept employment or transfer to work directly with a VPPSS client while VPPSS is providing services to that client or within six (6) months following the cessation of services.
Violations of this policy may result in disciplinary action, up to and including termination, as well as potential legal action to address conflicts of interest and protect the company's business interests.
⦁    2. Responsibility for Company Equipment and Materials
To perform assigned duties, VPPSS may provide employees with materials, tools, or equipment, including but not limited to keys, notes, phones, or other items specific to a property or job site. Employees are expected to handle all provided materials with care and professionalism.
⦁    Accountability: Employees are fully responsible for safeguarding any materials or tools entrusted to them.
⦁    Replacement Costs: Employees will be held financially responsible for the replacement or repair of any lost, stolen, or damaged items due to negligence or misuse.
⦁    Reporting: Any incidents of loss or damage must be reported to the appropriate supervisor immediately.


Third-Party Information: I acknowledge that this company has received, and in the future will receive from third parties their confidential information, subject to a condition on this company’s part, to maintain the confidentiality of such information and to use it only for certain limited purposes. I agree that, during the Period of Employment and thereafter, I will hold all such confidential information in the strictest confidence and not disclose or use it, except as necessary to perform my obligations and as is consistent with this company's agreement with such third parties for Cause, notwithstanding anything herein to the contrary.

Vigilant Pro Private Security Services may terminate my employment for any one of the following reasons: (1) Conviction of a felony, or a misdemeanor.
(2) Commission of any act of theft, fraud, or falsification of any employment records or this company’s records in any material way
(3) My failure or inability to perform my assigned duties after verbal and written notice from my supervisor and a reasonable opportunity to resolve such failure or inability to function in my position at VPPSS.
(4) Arriving at my work location, company meetings etc. intoxicated, under the influence of alcohol or drugs; inappropriate behaviors towards clients or other employees such as sexual advancements; harassment or anger management issues. I agree to always remain a professional in my demeanor and behavior while working.
(5) Any violation to any of the company policy.

*Exclusive Employment Conditions during Employment with VPPSS:
(a) I will not do anything to compete with the company’s present or contemplated business, nor will I plan or organize any competitive business activity and will not enter into any agreement which conflicts with my duties or obligations to this company; I will not during this time of employment or within one (1) year after it ends, without this company’s express written consent, solicit or encourage any employee, agent, independent contractor, supplier, consultant, investor, or alliance partner to terminate or alter a relationship with this company.

I have had the opportunity to ask questions about the policies in this handbook, and I understand that any future questions that I may have about the handbook, or its contents will be answered by the General Manager or his or her designated representative upon request. I agree to and will comply with the orders, policies, procedures and other guidelines set forth in the handbook. I understand that Vigilant Pro Private Security Services reserves the right to change, modify, or abolish any or all the policies, benefits, rules, and regulations contained or described in the handbook as it deems appropriate at any time, with or without notice.


The handbook is the property of Vigilant Pro Private Security Services and must be returned upon separation.

agree to allow Vigilant Pro Private Security Services, and anyone they may assign, to use, trade, or 

sell, all photographs of me displaying security uniforms. I further give complete permission for the use, display, publishing, printing, copying or replication of these photographs of me on security websites or any websites for advertisement or any promotional literature without payment or compensation of any nature to me at any time for any reason now and forever. I further state and agree that I am of sound mind and that by signing this agreement that I will be giving up all rights to these photographs, any copies, and all reprints, forever without receiving any compensation. These photographs shall be the sole property, exclusively of the aforementioned company and, their officers and staff, without limit, to use these photographs in a professional manner for the organization’s promotion and advertisement; and that I shall never be entitled to any compensation of any kind connected to the use of these photographs.

  • I fully understand that if I am employed by Vigilant Pro Private Security Services and assigned to any facility, post, business, or other designated location, I am NOT authorized to abandon my post under any circumstances.
  • If an emergency arises, I will immediately notify my supervisor prior to departing from my post.
  • I understand and agree that abandoning my post will result in the immediate termination of my employment with VPPSS, and I will not be paid for that specific tour of duty.
  • I further acknowledge that I may be held responsible for any incidents or liabilities that occur as a direct result of my neglecting or abandoning my assigned post.

Client-Specific Sensitivity

  • I understand the sensitive nature of the clients served by Vigilant Pro Private Security Services.
  • I acknowledge that any negligence or abandonment of duty on my part could jeopardize the company’s relationship with its clients, potentially leading to the loss of the contract.

  • I accept that I may be held accountable for any resulting damages or losses caused by my actions.

Resignation Notice

  • I agree to provide Vigilant Pro Private Security Services with at least 30 days’ written notice if I intend to resign, in consideration of the strict requirements of the clients we serve.

Prohibition of Unauthorized Client Interactions

  • I understand that I am prohibited from directly engaging with or conducting business with any VPPSS client outside of my authorized duties.
  • I agree that I will not accept payment, gifts, or any form of compensation from VPPSS clients without the explicit authorization of VPPSS management. Any violation of this policy will result in disciplinary action, up to and including immediate termination of employment.
I certify and understand under penalty of perjury under the laws of the State of California that the information in this document is true, correct, and fully understood. By signing below, I confirm that I have read, understood, and agree to adhere to the above terms.

A copy of this policy shall be placed in the employee’s personnel file as a permanent record.

90-Day Probationary Period

a new hire at Vigilant Pro Private Security Services (VPPSS), acknowledge and agree to the following strict terms regarding the initial ninety (90) days of employment: The first ninety (90) days of employment are considered a trial period, serving as an extension of the employment selection process. This probationary period provides the Company with the opportunity to thoroughly observe and evaluate the employee’s:

  • Ability to satisfactorily perform the essential functions of the job.
  • Work habits, conduct, and attendance.
  • Interactions and relationships with clients, managers, coworkers, and superiors.
  • During this probationary period, the following strict policies apply:

Performance Standards

  • Employees must meet all job performance expectations, including punctuality, professionalism, adherence to company policies, and compliance with safety protocols.
  • Any failure to meet these standards will result in disciplinary action, up to and including immediate termination.

Prohibited Conduct
  • Employees are expected to exhibit exemplary behavior and integrity. Any form of misconduct, including unprofessional behavior, neglect of duties, or violation of company policies, will not be tolerated and may result in immediate termination.

Company’s Right to Terminate

  • The Company reserves the right to terminate employment immediately, with or without cause, and with or without notice, at any time during this probationary period.

Employee’s Right to Resign

  • The employee may choose to terminate their employment at any time during this period, but must provide at least two weeks’ written notice to the Company.
Strict At-Will Employment

  • This 90-day probationary period is not a guaranteed term of employment and does not alter or affect the at-will employment relationship between the Company and the employee. The Company or the employee may terminate the employment relationship at any time, with or without cause or notice, during or after the probationary period.

Additional Consequences

Employee Duties and Responsibilities

It is the duty and responsibility of each employee to protect life and property, prevent crime, and recover lost or stolen property for our clients. Employees are expected to comply with all security programs implemented by the client and/or VIGILANT PRO PRIVATE SECURITY, INC., including wearing the proper uniform.

  • Guards must leave on time and confirm with their supervisor if there is a relief available.
  • Guards must clock in and out when arriving or leaving the site—no exceptions.
  • Guards must conduct a thorough inspection of the work site immediately upon arrival.
  • Guards must notify their supervisor of any activity observed after arriving at the work site.
  • Guards must verify if there is a relief guard available before or after their shift.
  • Arrival & Departure Penalties

Punctuality and regular attendance are essential. Any tardiness or absence disrupts operations and impacts fellow employees and supervisors.

  • First Late Arrival: Allowed once with a reasonable explanation.
  • Second Late Arrival: Will result in a formal write-up/warning and may lead to termination.
  • Third Late Arrival: Will result in termination.
  • Falsifying Time Records:
  • Tampering with time records or falsifying clock-in/out times is prohibited.
  • Recording shift times inaccurately (e.g., before commencing or after ending work) will result in a write-up and possible site ban.
  • Recording time on another employee’s timesheet is grounds for termination.
  • Client Complaints: Unsatisfactory performance resulting in client complaints may lead to immediate termination.

  • Rounds/Patrol Policy
  • Guards must conduct rounds every 30 minutes around the client’s property unless otherwise directed.
  • Specific site directives will indicate if rounds are unnecessary.
  • Reports and Activities Policy
  • Guards must submit daily activity reports, detailing all observations made during rounds.
  • All unusual activities, regardless of their significance, must be reported to the supervisor immediately.
  • Reports must be comprehensive, clear, and include key details using what, when, where, who, how, and why.
  • Reports are due after checking off duty and must be submitted by 12:00 AM on the same day via Proxi-Guard or email to ⦁    reportscenter@yahoo.com.
  • Suspicious activity must be reported to the supervisor immediately via call or text.
  • Guards who fail to submit reports on time will receive a warning and may face removal from the site.
  • Guards must document any activity with pictures and send them to ⦁    reportscenter@yahoo.com.
  • Observation and Reporting
  • Guards who fail to observe and report activities will be banned from the site and subjected to a formal write-up.
  • Failure to submit reports as required will result in a write-up.
  • Dress Code and Appearance.

Uniform Requirements:

  • Security officers must wear prescribed company uniforms, including clean and neatly pressed uniform pants.
  • Uniforms must fit properly and be tucked in at all times.
  • All uniforms must be maintained in a clean, unwrinkled condition.
Footwear:
  • Shoes, socks, and belts must be 100% black
Undershirt:
  • Undershirts must be black and cannot extend beyond the length of the shirt sleeve.
Personal Grooming:
  • Officers must maintain a neat hairstyle and be clean-shaven. Mustaches must not extend beyond the corners of the mouth.
Off-Duty Uniform Policy:
  • Uniforms are not to be worn off duty except during travel to and from the assigned post.
  • Officers in uniform are prohibited from entering establishments serving alcoholic beverages unless assigned to such a location for duty.
COVID-19 Guidelines:
  • Guards must wear gloves and face masks to protect themselves and others.

    Inappropriate Dress Consequences:

    • Employees reporting to work improperly dressed may be written up or asked to clock out and leave.
    • First Violation: Warning issued.
    • Second Violation: Two-day suspension.
    • Third Violation: Final warning issued.

    Confidentiality
    Payroll information is confidential and will only be disclosed to authorized personnel for legitimate business purposes. Employees are expected to respect colleagues’ privacy regarding compensation information.

    Policy Violations
    Violations of payroll or other company policies may result in disciplinary action, up to and including termination, per company procedures.



    • Training Fees

      The site requires 14 hours of compensated training. However, if an employee leaves the post before completing 90 days, the cost of training will be deducted from their final pay.


      Review and Revision
      This policy will be periodically reviewed and updated as necessary. Changes will be communicated to all employees.


      Post Orders and Requirements

      Guards must strictly adhere to post orders. Violations may result in removal from the site or termination.

      Time in Vehicles:

      • Guards may not sit in their cars for more than 20 minutes. Exceeding this time will result in a write-up and possible suspension.
      Prohibited Activities:
      • Alcohol and Drugs: No consumption of alcohol or use of drugs within eight hours before reporting for duty or while on duty.
      • Sleeping on Duty: Guards found sleeping will not be paid for the shift and may be terminated.
      • Theft: Any theft will result in immediate termination.
      • Personal Devices:
      • No personal cell phones or telephone calls except in a verifiable emergency.
      • Guards using cell phones or headphones while on duty will receive a warning.

      • Weapons: No carrying or use of unauthorized weapons, including firearms, batons, pepper spray, or other prohibited items.
      • Harassment/Discrimination: Harassment or discrimination of any kind will not be tolerated.
      • Personal Reading Materials: Prohibited at the duty post during shifts.
      • Electronic Devices: No use of personal TVs, radios, MP3 players, tablets, or other entertainment devices while on duty.
      • Fraternizing: No fraternizing of any kind while on duty.

      Employee Conduct and Duties
      Client Communication:


      Employees may not initiate contact with Vigilant Pro Private Security Services clients or act as notifying agents regarding incidents or accidents without prior supervisor approval.

      Weapon Display:
      Employees must not display weapons unnecessarily for any reason.

      False Statements:
      Employees must not knowingly make false statements or reports.

      Required Permits and Equipment:
      All permits and contractually required equipment (e.g., guard card, weapon, baton, mace) must be carried on the employee’s person while on duty.

      Shift Requirements:
      Employees must report to their assigned posts as scheduled, complete any necessary gear-up procedures, and remain on duty until the end of their shift unless properly relieved.

      Call-Off Policy:
      Employees must notify their supervisor on duty at least eight hours prior to their shift if calling off sick. Guards who call off must contact their supervisor or manager within four hours of their shift

      Observation and Reporting Policy

      Vigilant Pro Private Security operates strictly under an observe and report policy, as outlined in the BSIS Training Manual.

      Prohibited Actions:

      • Do not arrest, chase, apprehend, attack, or tackle.
      • Security guards/private security officers are NOT peace officers.

      • Primary Responsibilities:
      1. Protection: Protect the property or persons assigned.
      2. Prevention: Prioritize preventing incidents whenever possible.
      3. Observation and Reporting:
      4. If prevention is not possible, the role transitions to observing and reporting.
        When reporting, distinguish between facts (actual events) and conclusions (interpretations or beliefs drawn from facts).
      5. Payroll, Compensation, and Deductions Policy
      Purpose:
  • To establish guidelines and procedures for accurate and timely payroll processing, ensuring compliance with legal requirements and maintaining transparency in compensation practices.
  • Payroll Period:
  • Payroll is processed on a [weekly/bi-weekly/monthly] basis.
  • Employees are paid on the 5th day after submitting their timesheet.
  • Weekly payroll (Monday through Sunday) will be paid on the following Friday.
  • Payroll Deductions:
  • Taxes:
Federal, state, and local income taxes, as well as Social Security and Medicare taxes, will be deducted per applicable laws.

  • Benefits:
  1. Employee contributions to health insurance, retirement plans, and other benefits will be deducted based on the plan details.
  2. VPPSS offers a shared health plan through KAISER, with costs split 50/50 between employees and VPPSS.
  • Voluntary Deductions:
  • Employees may authorize additional deductions (e.g., charitable contributions, wage garnishments) in writing.
  • Direct Deposit:
  • Employees are encouraged to enroll in direct deposit for secure and efficient payment transfers.
  • Check deposits are also offered as an alternative.
  • Overtime Compensation:
  • Overtime will be compensated in accordance with labor laws.
  • Overtime pay is calculated at 1.5 times the regular hourly rate for hours worked beyond 8 hours in a workweek.
  • Payroll Corrections:
    Discrepancies or errors in payroll must be reported to HR immediately.
  • Corrections will be processed in the subsequent payroll cycle.
  • Wage Increases:
